1. Parties and Definitions

Provider: Dynamic Ventures Co., Ltd.
Customer / You: the individual or entity ordering services via our website
Service: custom Hotel Website Pack — SKU l2.hotel_site.pack

2. Service Description

2.1 Included in the pack (v1 — draft)

• Hotel website — 2 pages (home and rooms) in Thai + English
• Design style selected at checkout (style_id / style_slug)
• CTAs: click-to-call, LINE deep link
• Estimated delivery ~14 days after complete brief received (excluding customer-caused delays) — “start of work” per Refund Policy §3 (complete online intake questionnaire OR first preview URL, whichever is first)
• Online intake questionnaire after payment — content, photos, logo
• Lightweight static site — it needs no paid server, so keeping it online carries no monthly fee

2.2 Not included (v1)

• On-site booking engine or payment on the hotel website
• Meta / Google Ads management
• Automated Google Business Profile posting via API
• Professional human translation (internal workflow + machine translation per scope)
• Domain name — registered in your name, paid directly to the registrar, renewed once a year (not part of the pack fee)

3. Order Flow

Select style on /order/ → checkout (email, name, acknowledgment) →
order.created → payment (PromptPay/Omise) → payment.confirmed →
receipt by email → (if SKU matches) secure link to the online
intake questionnaire → submit brief → build site → preview → delivery

Mandatory sequence: no QR / no payment before checkout with email.

Payment channels: bank PromptPay (manual) and/or Omise are channels for the same order (same order_id) — not a separate merchant.

4. Customer Responsibilities

You agree that:

• Information provided is accurate and current
• You have rights to uploaded photos, logos, and content (no third-party copyright infringement)
• You do not upload sensitive personal data of third parties (passports, health data, guest registers)
• You do not enter credit card data directly into our systems — card data is processed by Omise (PCI-DSS)
• You respond to intake and approve previews within reasonable time — customer delays extend timeline

5. Fees and Payment

6. Delivery and Revisions

• Delivery via preview / production URL per pack scope
• Post-delivery changes per scope or separate agreement

7. Intellectual Property

• After full payment and delivery, customer receives rights to use the delivered website
• We may showcase work in portfolio only with consent (owner open question — portfolio opt-out)
• Internal tools, templates, and workflows remain our property

8. Refunds and Cancellation

See full Refund & Cancellation Policy — summary: 100% before work starts · non-refundable after work starts · manual bank · 14 business days.

9. Limitation of Liability (draft — UCTA review)

• Total liability capped at fees paid for that order
• No liability for indirect loss, lost profits, or data loss — to the extent permitted by law
• This limitation does not apply to intentional acts or gross negligence under the Thai Civil and Commercial Code Section 150
• Lawyer to review enforceability under Unfair Contract Terms Act B.E. 2540

10. Privacy

Personal data processing is governed by our Privacy Policy — PDPA Section 23 notice, Section 24(3) basis for checkout/intake.

11. Governing Law and Disputes

• Laws of Thailand
• Courts of Thailand (Ranong Province or as mandated by law) — lawyer to confirm forum clause
• Mediation may be considered before litigation (draft)

12. Acceptance

Checking the acknowledgment box on checkout (not pre-ticked) and completing payment constitutes acceptance of these Terms and the Refund Policy under the Electronic Transactions Act B.E. 2544, Section 13 — lawyer to confirm.

13. Amendments

We may update these Terms with terms_version and effective_date on the website.

1. คู่สัญญาและคำจำกัดความ

ลูกค้า / ท่าน: บุคคลหรือนิติบุคคลที่สั่งซื้อบริการผ่านเว็บไซต์ของเรา
บริการ: แพ็กเกจเว็บไซต์โรงแรมแบบสั่งทำ (Hotel Website Pack) SKU l2.hotel_site.pack

2. คำอธิบายบริการ

2.1 สิ่งที่รวมในแพ็กเกจ (v1 — draft)

• เว็บไซต์โรงแรม 2 หน้า (หน้าแรกและหน้าห้องพัก) ภาษาไทย + อังกฤษ
• สไตล์จากแคตตาล็อกที่เลือกบน checkout (style_id / style_slug)
• CTA: โทรศัพท์, LINE deep link
• ระยะเวลาดำเนินการโดยประมาณ ~14 วัน หลังได้รับ brief ครบ (ไม่รวมความล่าช้าจากลูกค้า) — “เริ่มงาน” ตามนิยามใน นโยบายการคืนเงิน §3 (Form ครบถ้วน หรือ preview แรก แล้วแต่อย่างใดก่อน)
• แบบสอบถามออนไลน์หลังชำระเงิน — เก็บเนื้อหา, รูป, โลโก้
• เว็บไซต์ที่เบาและเป็นแบบสแตติก — ไม่ต้องใช้เซิร์ฟเวอร์แบบเสียเงิน จึงไม่มีค่าใช้จ่ายรายเดือนในการเก็บเว็บไซต์ไว้ออนไลน์

2.2 สิ่งที่ ไม่ รวม (v1)

• ระบบจองและชำระเงินบนเว็บไซต์โรงแรม (booking engine / payment on hotel site)
• การจัดการโฆษณา Meta / Google Ads
• การโพสต์ Google Business Profile อัตโนมัติผ่าน API
• บริการแปลมือโดยนักแปลมืออาชีพ (ใช้ workflow ภายใน + machine translation ตาม scope)
• ชื่อโดเมน — จดทะเบียนในชื่อของคุณ ชำระโดยตรงกับผู้ให้บริการรับจดโดเมน ต่ออายุปีละครั้ง (ไม่รวมในค่าแพ็กเกจ)

3. ขั้นตอนการสั่งซื้อ

เลือกสไตล์บน /order/ → checkout (email, ชื่อ, acknowledgment) →
order.created → ชำระเงิน (PromptPay/Omise) → payment.confirmed →
ใบเสร็จทางอีเมล → (ถ้า SKU ตรง) ลิงก์แบบสอบถามออนไลน์ →
ส่ง brief → ผลิตเว็บ → preview → ส่งมอบ

ลำดับบังคับ: ไม่แสดง QR / ไม่รับชำระเงินก่อน checkout ที่มี email

ช่องทางชำระเงิน: PromptPay ธนาคาร (manual) และ/หรือ Omise เป็นช่องทางของ คำสั่งซื้อเดียวกัน (order_id เดียวกัน) — ไม่ใช่ “ร้านค้าที่สอง”

4. ข้อมูลและความรับผิดชอบของลูกค้า

ลูกค้าตกลงว่า:

• ข้อมูลที่ให้ถูกต้องและเป็นปัจจุบัน
• มีสิทธิใช้รูปภาพ โลโก้ เนื้อหาที่อัปโหลด (ไม่ละเมิดลิขสิทธิ์บุคคลที่สาม)
• ไม่ อัปโหลดข้อมูลส่วนบุคคลที่ละเอียดอ่อนของบุคคลที่สาม (พาสปอร์ต, ข้อมูลสุขภาพ, ทะเบียนผู้เข้าพัก)
• ไม่ ป้อนข้อมูลบัตรเครดิตลงในระบบของเราโดยตรง — ข้อมูลบัตรประมวลผลโดย Omise (PCI-DSS)
• ตอบ intake และอนุมัติ preview ภายในเวลาที่สมเหตุสมผล — ความล่าช้าจากลูกค้าขยาย timeline

5. ค่าบริการและการชำระเงิน

ข้อความใน PDF	“This document is not a Tax Invoice (ใบกำกับภาษี)” — สอดคล้อง template payment_receipt_service.html

6. การส่งมอบและการแก้ไข

• ส่งมอบผ่าน URL preview / production ตาม scope แพ็กเกจ
• การแก้ไขหลังส่งมอบ — ตามที่ระบุใน scope หรือสัญญาเพิ่มเติม (ถ้ามี)
• ความล่าช้าจาก force majeure — แจ้งลูกค้าโดยเร็ว

7. ทรัพย์สินทางปัญญา

• หลังชำระเงินครบและส่งมอบ ลูกค้าได้รับสิทธิใช้งานเว็บไซต์ที่จัดทำ
• เราอาจแสดงผลงานใน portfolio เฉพาะเมื่อได้รับความยินยอม (owner open question — portfolio opt-out)
• เครื่องมือ แม่แบบ และ workflow ภายในยังคงเป็นทรัพย์สินของเรา

8. การคืนเงินและการยกเลิก

อ้างอิง นโยบายการคืนเงินและการยกเลิก ฉบับเต็ม — สรุป: 100% ก่อนเริ่มงาน · non-refundable หลังเริ่มงาน · manual bank · 14 วันทำการ

9. ข้อจำกัดความรับผิด (draft — UCTA review)

• ความรับผิดรวม ไม่เกิน ค่าบริการที่ลูกค้าชำระสำหรับ order นั้น
• ไม่ รับผิดต่อความเสียหายทางอ้อม ผลกำไรที่สูญเสีย หรือข้อมูลที่สูญหาย — เท่าที่กฎหมายอนุญาต
• ข้อจำกัดนี้ ไม่มีผล ต่อความรับผิดจากการจงใจหรือประมาทร้ายแรง ตามประมวลกฎหมายแพ่งและพาณิชย์ มาตรา 150
• ให้ทนายทบทวน enforceability ภายใต้ พ.ร.บ.สัญญาที่ไม่เป็นธรรม

10. ความเป็นส่วนตัว

การประมวลผลข้อมูลส่วนบุคคลอยู่ภายใต นโยบายความเป็นส่วนตัว — PDPA มาตรา 23 notice, ฐาน 24(3) สำหรับ checkout/intake

11. กฎหมายที่ใช้บังคับและข้อพิพาท

• กฎหมายไทย
• ศาลที่มีเขตอำนาจในประเทศไทย (จังหวัดระนอง หรือตามที่กฎหมายกำหนด) — ให้ทนายยืนยัน clause forum
• อาจพิจารณาไกล่เกลี่ยก่อนฟ้อง (draft)

12. การยอมรับข้อกำหนด

การทำเครื่องหมาย acknowledgment บน checkout (ไม่ pre-ticked) และชำระเงินถือเป็นการยอมรับ ToS ฉบับนี้และ Refund Policy ตาม พ.ร.บ.ว่าด้วยธุรกรรมทางอิเล็กทรอนิกส์ พ.ศ. 2544 มาตรา 13 — ให้ทนายยืนยัน

13. การแก้ไข ToS

เราอาจปรับปรุง ToS โดยเผยแพร่ terms_version และ effective_date บนเว็บไซต์
